By accessing our Website or engaging our Services, you ("you", "your", "User", or the "Client") confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree with any of these Terms, please refrain from using the Website or any services provided through it.

These Terms should be read alongside our Privacy Policy, which is incorporated herein by reference.

RAFA Alliance LLC is a professional services firm based in Dubai, UAE, offering accounting, bookkeeping, VAT, corporate tax, audit support, management accounting, business setup, and administrative support services to businesses across the UAE.

2. Use of Website and Materials

5. Professional Services & Engagement

The information provided on this Website is for general informational purposes only and does not constitute professional accounting, tax, legal, or financial advice. Engagement of RAFA Alliance's professional services is governed exclusively by a separate signed Engagement Letter or Service Agreement between RAFA Alliance and the Client.

The scope, deliverables, timelines, and fees applicable to any professional engagement shall be as set out in the relevant Engagement Letter. In the event of any conflict between these Terms and a signed Engagement Letter, the Engagement Letter shall prevail.

RAFA Alliance reserves the right to decline any engagement at its sole discretion, including where acceptance would conflict with applicable professional standards, regulatory requirements, or internal compliance policies.

6. Client Obligations

To enable RAFA Alliance to deliver its Services effectively, the Client agrees to:

  • Provide complete, accurate, and timely information, documents, and data as reasonably requested.
  • Notify RAFA Alliance promptly of any material changes to their business, structure, or circumstances that may affect the Services.
  • Ensure that all information provided to RAFA Alliance is truthful and not misleading.
  • Cooperate fully with RAFA Alliance and any regulatory authority where required.
  • Comply with all applicable UAE laws, regulations, and FTA requirements relevant to their business.

RAFA Alliance shall not be held liable for any errors, penalties, or losses arising from incomplete, inaccurate, or delayed information provided by the Client.

7. Fees, Payment & Refund Policy

All fees for professional services are as agreed and set out in the relevant Engagement Letter or invoice issued by RAFA Alliance. Unless otherwise stated:

  • Invoices are payable within the timeframe specified in the Engagement Letter or, where not specified, within 7 days of the invoice date.
  • All fees are quoted in UAE Dirhams (AED) and are exclusive of VAT unless otherwise stated.
  • VAT at the applicable rate shall be charged in accordance with UAE VAT legislation.
  • Late payments may be subject to a follow-up fee or suspension of services at RAFA Alliance's discretion.
  • RAFA Alliance reserves the right to revise its fee structure upon reasonable notice to the Client.
  • Any disbursements, government fees, or third-party costs incurred on behalf of the Client will be invoiced separately unless otherwise agreed.

Refunds:

All payments made to RAFA Alliance are non-refundable unless otherwise agreed in writing. In exceptional circumstances, refund requests will be reviewed at the sole discretion of RAFA Alliance. Any approved refund will be processed via the original payment method within a reasonable timeframe.

8. Confidentiality

RAFA Alliance treats all Client information as strictly confidential. We will not disclose any confidential information to third parties without the Client's prior written consent, except where:

  • Disclosure is required by UAE law, regulation, or a competent regulatory authority.
  • Disclosure is necessary to fulfil the Services with the involvement of authorised service providers bound by confidentiality obligations.
  • The information is already in the public domain through no breach by RAFA Alliance.
  • Disclosure is required under RAFA Alliance's Anti-Money Laundering (AML) and Know Your Customer (KYC) obligations.

This confidentiality obligation shall survive the termination of any engagement between the Client and RAFA Alliance.

9. Anti-Money Laundering (AML) Compliance

RAFA Alliance is subject to UAE Anti-Money Laundering regulations. As a Designated Non-Financial Business and Profession (DNFBP), we are required to:

  • Conduct Customer Due Diligence (CDD) and Know Your Customer (KYC) checks on all clients prior to engagement.
  • Retain copies of identification and supporting documents as required by law.
  • Report any suspicious transactions or activities to the relevant UAE authorities.
  • Decline or terminate an engagement where AML compliance obligations cannot be satisfied.

By engaging our Services, you consent to RAFA Alliance conducting the necessary due diligence checks as required under UAE AML law.

10. Third-Party Links

The Website may contain links to third-party websites for convenience only. RAFA Alliance does not endorse, control, or take responsibility for the content, privacy practices, or terms of any third-party websites. Accessing these sites is entirely at your own risk. 11. Intellectual Property

All content on this Website, including text, graphics, logos, icons, images, and software, is the property of RAFA Alliance LLC and is protected under applicable UAE intellectual property laws. Any reports, financial statements, or documents produced by RAFA Alliance for a Client under an engagement remain the intellectual work product of RAFA Alliance until full payment has been received, at which point ownership transfers to the Client as agreed in the Engagement Letter.

12. Limitation of Liability

To the fullest extent permitted by UAE law, RAFA Alliance shall not be liable for:

  • Any indirect, incidental, consequential, or special loss or damage arising from your use of this Website or our Services.
  • Any loss arising from reliance on information published on this Website without formally engaging our Services.
  • Errors or omissions resulting from inaccurate, incomplete, or delayed information provided by the Client.
  • Any penalties, fines, or regulatory actions imposed by any UAE authority arising from the Client's own conduct or non-disclosure.
  • Any interruption or unavailability of the Website due to technical issues, maintenance, or circumstances beyond our control.

Where liability cannot be excluded by law, RAFA Alliance's total liability shall not exceed the total fees paid by the Client for the specific service giving rise to the claim.

13. Indemnification

You agree to indemnify and hold harmless RAFA Alliance LLC and its principals, directors, employees, and representatives from and against any claims, liabilities, damages, losses, or expenses (including legal fees) arising from your use of the Website, breach of these Terms, or any misrepresentation of information provided to RAFA Alliance in the course of an engagement.

14. Termination of Services

Either party may terminate a service engagement by providing written notice as specified in the relevant Engagement Letter. Upon termination:

  • All outstanding fees for work completed up to the date of termination remain payable by the Client.
  • RAFA Alliance will return or hand over all Client documents and records as agreed.
  • RAFA Alliance reserves the right to immediately terminate an engagement in the event of a material breach by the Client, non-payment, or where continuation would violate applicable laws or professional obligations.

RAFA Alliance also reserves the right to suspend or terminate access to the Website at any time, without notice, for conduct that violates these Terms. Termination of a service engagement does not affect any accrued rights or obligations of either party.

15. Legal, Jurisdiction & Miscellaneous

These Terms and Conditions are governed by and construed in accordance with the laws of the United Arab Emirates. Any dispute arising out of or in connection with these Terms shall first be subject to good-faith negotiation between the parties. If unresolved, disputes shall be referred to the competent courts of the Emirate of Dubai, UAE, whose jurisdiction both parties irrevocably accept.

  • A printed version of these Terms is admissible in legal proceedings to the same extent as other business documents.
  • You may not assign these Terms or any rights hereunder without prior written consent from RAFA Alliance.
  • Any waiver of rights under these Terms must be made in writing and shall not constitute a waiver of any future breach.
  • If any provision of these Terms is found to be invalid or unenforceable, it shall not affect the validity of the remaining provisions, which shall continue in full force and effect.
  • These Terms, together with any signed Engagement Letter, constitute the entire agreement between you and RAFA Alliance with respect to the subject matter herein and supersede all prior agreements or understandings.

16. Changes to These Terms

RAFA Alliance reserves the right to update or amend these Terms at any time by publishing the revised version on this page. Changes become effective immediately upon publication. Your continued use of the Website following any changes constitutes your acceptance of the updated Terms. We encourage you to review this page periodically to stay informed.
